Those Eligible for Regular Membership:

a) Owns at least a 25% voting interest in a individual Massage Envy franchise or Regional Developer Agreement

b) Owns at least 10% voting interest in an entity which controls two or more Massage Envy franchises or Regional Developer Agreement

c) Is an officer, director, general partner or managing member of any entity which controls a Massage Envy franchise or Regional Developer Agreement.

d) Each regular member in good standing will be allowed one vote per each clinic owned in at-large voting procedures. (ie. - if you own 2 clinics, you get 2 votes, whereas if you own and have paid dues for 15 locations, you will be allowed 15 votes)

Notwithstanding, a Regular Member may appoint an Agent who does not meet the above criteria.  However, that Agent will not be qualified to serve as an Officer or Director of the Association.

Those Not Eligible for Regular Membership:

a) Adverse Competitors.  No individual or the Agent of a member may own, have an ownership interest in, be employed by, manage or otherwise be affiliated with, any business which has as its primary purpose the sale of goods or services which adversely competes directly with Massage Envy Franchisees. The final determination will rest solely in the discretion of the Board on a case-by-case basis. Notwithstanding, ownership or affiliation with an entity that merely sells or provides goods or services to competitive business will not, in and of itself, preclude membership.

b) Massage Envy Corporate - Massage Envy Corporate or "Franchisor" means any Massage Envy LLC, Massage Envy Ltd, and Roark Capital Group (collectively referred to as "franchisor"), and their respective parents, subsidiaries, affiliates, agents, employees and equity holders.
